3. Eligibility and Authority

You may use the website and services only if you are legally able to enter into these Terms and are using the website for a lawful purpose. If you act on behalf of a company, buyer, publisher, agency, vendor, or other organization, you represent that you have authority to bind that organization to these Terms and to provide information on its behalf.

You agree not to impersonate any person or entity, misrepresent your affiliation, submit inaccurate information, or use CallMotiv systems for unauthorized competitive, fraudulent, abusive, or unlawful purposes.

4. Permitted and Prohibited Use

You may use the website for legitimate informational, business, buyer, publisher, partner, consumer inquiry, or service-related purposes. You may not:

  • Use the website or services in violation of any law, regulation, contractual obligation, advertising rule, privacy law, consumer protection law, call recording law, email law, SMS law, TCPA-related requirement, or platform rule.
  • Submit false, misleading, incomplete, unauthorized, scraped, purchased, coerced, or improperly obtained consumer information.
  • Interfere with website security, attempt unauthorized access, probe systems, scrape content, reverse engineer systems, or introduce malware, bots, scripts, or harmful code.
  • Use CallMotiv content, forms, brand assets, language, routing logic, campaign materials, or proprietary processes to build a competing service without written authorization.
  • Attempt to bypass buyer, publisher, compliance, routing, quality, consent, or source controls.

5. Information, Forms, and Submissions

When you submit information to CallMotiv, you represent that the information is accurate, current, complete, and lawfully provided. You are responsible for ensuring that any information you submit, upload, transmit, or authorize is permitted under applicable law and any agreement that applies to you.

Submission of a form does not guarantee acceptance as a buyer, publisher, vendor, strategic partner, advertiser, affiliate, or service recipient. CallMotiv may review, reject, pause, suspend, or decline any request, relationship, campaign, source, buyer, publisher, or submission in its discretion.

6. Calls, SMS, Email, Calendar Booking, and Electronic Communications

By submitting information, calling us, booking a meeting, or otherwise contacting CallMotiv, you consent to receive communications from CallMotiv and, where applicable, its service providers, representatives, or partners regarding your inquiry, relationship, campaign, request, or service interest. Communications may occur by phone, email, SMS, calendar invitation, web form, or other electronic means.

CallMotiv may record, monitor, transcribe, review, analyze, or retain communications for quality assurance, compliance, training, dispute resolution, fraud prevention, security, routing, and operational purposes where permitted by law. Where consent is required, callers and participants are responsible for complying with applicable notice and consent rules.

SMS and email communications may be subject to opt-out rights. Replying “STOP” to eligible SMS messages or using unsubscribe mechanisms, where provided, may stop certain communications. Transactional, compliance, legal, security, or relationship-related communications may continue where permitted by law.

7. Buyer, Publisher, Vendor, and Partner Relationships

These Terms do not create a buyer agreement, publisher agreement, service-level guarantee, exclusive relationship, employment relationship, franchise relationship, agency relationship, joint venture, partnership, fiduciary duty, or revenue entitlement unless expressly agreed in a separate written agreement signed by authorized parties.

Buyers, publishers, vendors, and partners may be subject to additional onboarding, vetting, insertion orders, campaign terms, source rules, acceptance criteria, payment terms, compliance requirements, dispute procedures, return policies, data-use restrictions, quality standards, routing protocols, and confidentiality obligations.

CallMotiv reserves the right to review, pause, reject, re-route, cap, test, audit, or stop volume if quality, consent, source integrity, buyer readiness, publisher conduct, compliance, payment, operational fit, or marketplace trust is in question.

8. AI-Assisted Features, Routing, and Automation

CallMotiv may use AI-assisted tools, automation, analytics, transcription, routing logic, call review, scoring, workflow automation, or similar technologies to support operations, quality assurance, communication, lead review, call handling, or marketplace optimization. AI-assisted tools are used to support human-led business processes and may not be perfect.

You agree not to rely on any AI-assisted response, summary, routing decision, or automated output as legal, financial, medical, insurance, lending, or professional advice. Campaign-specific regulated activity should be reviewed by appropriate licensed professionals and compliance counsel.

9. Intellectual Property and Brand Use

The CallMotiv website, content, copy, designs, layouts, code, visuals, trademarks, trade names, brand elements, strategy language, proprietary workflows, campaign structures, routing logic, and related materials are owned by or licensed to CallMotiv or its affiliates and are protected by applicable intellectual property and unfair competition laws.

You may not copy, reproduce, distribute, modify, display, sell, lease, scrape, mirror, frame, reverse engineer, or create derivative works from CallMotiv content or systems without prior written permission, except as expressly permitted by law or a written agreement.

10. Third-Party Services, Links, and Embedded Tools

The website may include links, embedded forms, calendar tools, analytics, CRM workflows, call technology, communication tools, or other third-party services. CallMotiv is not responsible for third-party websites, services, policies, availability, security, content, or practices. Use of third-party services may be governed by separate terms and privacy policies.

11. No Professional Advice; No Guarantee

Website content is provided for general informational and business purposes only. Nothing on the website constitutes legal, financial, medical, insurance, lending, tax, compliance, employment, or other professional advice. You should consult qualified professionals before relying on any information for regulated or high-risk decisions.

CallMotiv does not guarantee that any website, campaign, call path, form, buyer relationship, publisher relationship, call volume, lead volume, conversion result, revenue result, routing result, transfer result, AI-assisted output, or communication will meet any specific expectation unless expressly stated in a separate written agreement.

12. Availability and Security

CallMotiv may take reasonable steps to protect website and system integrity, but no system is guaranteed to be uninterrupted, error-free, secure, or available at all times. CallMotiv may suspend, limit, or block access to protect the website, systems, users, consumers, buyers, publishers, vendors, partners, or marketplace integrity.

13. Disclaimers of Warranties and Limitation of Liability

To the maximum extent permitted by law, the website, content, forms, communications, embedded tools, and services made available through the website are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or uninterrupted operation.

To the maximum extent permitted by law, CallMotiv, its affiliates, owners, officers, directors, employees, contractors, vendors, service providers, and representatives will not be liable for indirect, incidental, consequential, special, exemplary, punitive, lost profit, lost revenue, lost data, lost goodwill, business interruption, or similar damages arising out of or related to website use, communications, submissions, campaigns, or services.

14. Indemnification

You agree to defend, indemnify, and hold harmless CallMotiv and its affiliates, owners, officers, directors, employees, contractors, vendors, service providers, and representatives from and against claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the website, your submissions, your violation of these Terms, your violation of law, your data practices, your communications practices, your buyer/publisher/vendor/partner activity, or your infringement or misuse of third-party rights.

15. Privacy

Use of the website and services is also governed by CallMotiv’s Privacy Policy, which explains how CallMotiv may collect, use, disclose, retain, and protect information. If there is a conflict between these Terms and the Privacy Policy regarding privacy rights or privacy disclosures, the Privacy Policy controls for those privacy-specific issues unless a separate written agreement states otherwise.

16. Changes to These Terms

CallMotiv may update these Terms from time to time. Updated Terms will be posted on this page with a revised “Last Updated” date. Continued use of the website, forms, communications, or services after updated Terms are posted means you accept the updated Terms.

17. Governing Law, Disputes, and Venue

Unless a separate written agreement states otherwise, these Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. To the extent a dispute is not subject to a separate signed agreement, the parties agree that disputes arising from these Terms or website use will be handled in the state or federal courts located in Wyoming, where legally permitted.

Some states may limit certain venue, waiver, limitation, arbitration, or choice-of-law provisions for consumers. Nothing in these Terms is intended to reduce non-waivable rights that apply under law.

18. State-Specific and Non-Waivable Rights

Because CallMotiv may operate nationwide, some users may have rights or protections under state laws that cannot be waived by contract. These Terms apply only to the maximum extent permitted by law. If any provision is found invalid or unenforceable, the remaining provisions remain in effect.
